1. GENERAL INFORMATION
1.1. These CompareTV Terms of Service (the “Terms”) constitute a legally binding agreement between the company Twenty/Twenty Digital Pty Ltd having a registered place of business at Suite C, 13/1 Vuko Place, Warriewood, New South Wales 2102, Australia, and a business registration number (ABN) 20166855401 (the “Company”, “we”, “us”, and “our”) and an individual user (the “user”, “you”, and “your”) accessing and using the online platform CompareTV available at https://www.comparetv.co.uk and the related services (collectively, “CompareTV”).
1.2. About CompareTV. CompareTV is an online platform, which provides consumers with an overview of third-party digital entertainment services (e.g., subscription and streaming television, music, gaming, broadband and mobile connection) available in the United Kingdom. As a result, consumers can compare the services and choose the service provider that meets their needs. CompareTV is for private non-commercial use.
1.3. License to use CompareTV. We grant you a personal, revocable, non-exclusive, non-transferable and limited license to use CompareTV pursuant to these Terms within the territory of the United Kingdom. You are not allowed to use CompareTV in countries where it may be restricted or prohibited by local legislation.
1.4. Minors. CompareTV is not marketed and should not be used by persons under the age of 18.
1.5. Disclaimer. All information provided on CompareTV is for general information purposes only; it does not constitute technical or expert advice. Although we regularly monitor CompareTV, we cannot guarantee the accuracy, reliability, currency, relevance, and completeness of the information available on CompareTV, neither provided by us nor by any third parties whose links, information, and advertisement are featured on CompareTV. The comparing information made available on CompareTV may not include all products and services that are available in the market. We are not responsible for changes in the accuracy of the information available on CompareTV when a service provider changes rates, tariffs, or features and such changes are not reflected on CompareTV.
1.6. Third-party links and advertising. CompareTV may contain links to websites, services, and other online sources owned and operated by third parties (e.g., digital entertainment service providers and social media platforms). CompareTV may also feature information and advertising provided by third parties. We are not responsible or liable in any manner for the content of such third-party links, information, advertising, as well as the security and privacy practices deployed by the operators of third-party websites and services. Please exercise your due diligence before clicking on any third-party links or advertisements.
1.7. Support. Any requests for customer or technical support should be addressed to us by email at firstname.lastname@example.org.
1.8. Privacy and other relevant terms. The documents that include important provisions regarding your use of CompareTV and should be read and interpreted together with these Terms are:
- Other individual terms and conditions made available by us through CompareTV.
1.9. Your warranties. By using CompareTV, you acknowledge, agree, and warrant that:
- You will comply with these Terms and all applicable local, state, national and foreign laws, treaties, and regulations in connection with your use of CompareTV;
- You provide only true, accurate, complete, and up-to-date information, including personal data;
- You are at least 18 years old;
- You can conclude legally binding contracts with us; and
- You are not under any type of judicial interdiction.
1.10. Fees. CompareTV is provided free of charge.
2. SERVICE CONTRACTS
2.1. Our role. CompareTV serves as a platform that features information about third-party suppliers of digital entertainment services available in user’s area (the “Suppliers”). Unless otherwise provided in the Terms, we do not intervene into the communication between the users and the Suppliers, as well as negotiation, conclusion, and execution of service contracts between the users and the Suppliers (the “Service Contracts”). Our responsibility with regard to the Service Contracts is limited to facilitating the availability of information about the Suppliers. By using CompareTV, you acknowledge and agree that the Suppliers and not the Company are solely responsible for (i) concluding any ServiceContracts and (ii) providing the services under the Service Contracts.
2.2. Entering into the Service Contracts. If the user decides to enter into the Service Contract with the Supplier, the Service Contract is the contractual relationship between the user and the respective Supplier, and they have complete discretion with regard whether to enter into the Service Contract and the agreed terms of the Service Contract. The user acknowledges and agrees that the Company is not a party to the Service Contract and the formation of the Service Contract does not create employment, partnership, joint venture, or other service relationships between the user and the Company. The user understands that the user orders services from the respective Suppliers and not directly from the Company, and the Suppliers are solely responsible for delivering those services. Therefore, for any specifics related to the Service Contracts, the user is requested to contact the respective Supplier.
2.3. The user is responsible for paying all fees, duties, taxes, and assessments arising out of user’s use of CompareTV and the Service Contracts.
2.4. The Company is not a party to the Service Contracts and, therefore, the Company will not be liable for any direct, indirect, consequential or inconsequential loss or damage that results from the Service Contracts and any business transactions made between the user and the Supplier as a result of information available on CompareTV.
2.5. CompareTV provides general information about the Suppliers and features only a limited list of the Suppliers that is compiled by us and updated from time to time; such a list is of a recommendation nature.
2.6. The user is solely responsible for carrying out appropriate checks regarding the Suppliers, including their relevant trade and industry accreditations and credibility, prior to concluding the Service Contracts. None of the references provided by us through CompareTV in relation to the Suppliers represent endorsement, certification or guarantee about any Supplier or services provided by that Supplier. We strongly encourage the users not to conclude any Service Contracts if the users have any doubts or concerns regarding the Suppliers.
2.7. We are not responsible for any disputes that arise between the users and the Suppliers, nor we are obliged to receive or process, complaints against the users of CompareTV, unless the complaint concerns the performance of our legal or contractual obligations under these Terms.
3. THE COMMENTS
3.1. When you use CompareTV, you may submit comments under the articles available on CompareTV (the “Comments”). Please note that the Comments may become publicly available. Therefore, we request you to (i) exercise your due diligence when uploading the Comments onto CompareTV, (ii) not to make publicly available any sensitive information, and (iii) make sure that, by uploading your Comments onto CompareTV, you comply with these Terms.
3.2. By uploading the Comments onto CompareTV, you grant us unrestricted, sub-licensable, royalty-free, perpetual, and irrevocable rights to use, distribute, advertise, adapt, remix, modify, publicly display, publicly perform, excerpt, prepare derivative works of, and reproduce your Comments for the purposes of carrying our legitimate business interests.
3.3. You agree not to submit the Comments that violate these Terms or any applicable laws, including intellectual property rights of others.
3.4. You understand and agree that, in order to ensure the security CompareTV, we may, but have no obligation to, monitor or review the Comments. We reserve the right, at our sole discretion, to refuse to upload, modify, delete, or remove the Comments, in whole or in part, that violates these Terms or may harm the reputation of CompareTV. However, you remain solely responsible for your Comments.
3.5. You are not allowed to make publicly available personal data of persons who have not provided you with their prior authorisation or consent to share that personal data (e.g., you cannot publish name and contact details of a person who has not allowed you to do so) through your Comments.
3.6. The Comments include users’ personal views and recommendations. The Comments do not reflect Company’s views, recommendations, endorsement, or any commitments related thereto.
4. COMPARISON INFORMATION
4.1. The comparison information available on CompareTV is not intended to be a comprehensive overview of the market and all products, services, and service providers in the United Kingdom.
4.2. None of the products or services featured on CompareTV should be taken as ranking or endorsement of any particular product or service above another in terms of suitability for your particular needs. The analytics data is restricted to the information subsequently disclosed to us and the products and services featured on CompareTV may not be suitable for your personal circumstances.
4.3. A reference to a product or service as “top” or “best” is a mere reflection of user’s preference based on the analytics data held by us or defined by the features and characteristics of a particular product or service. Grouped products or services do not appear in a particular order.
4.4. Affiliation and remuneration. When you click on some of the links featured on CompareTV referring you to particular Suppliers, products or services, we may receive a commission, referral fee or payment in relation to your choice of such a link. In some cases, we may receive remuneration for referring you to the Supplier, advertiser, service provider, or product issuer. Affiliate links will be indicated.
4.5. Promotional deals and offers. For offers, coupons, deals and discounts, we put reasonable efforts to ensure that the p promotional information available on CompareTV is current and correct at the time of publication. However, the Suppliers may subsequently restrict offers, apply additional terms or only have limited qualities available. All deals and offers are subject to availability. It is your sole responsibility to always check Supplier’s website before applying for, or purchasing, anything from the Supplier.
5. ACCEPTABLE USE POLICY
5.1. When using CompareTV, you are required to follow our acceptable use policy outlined in this Section 4. Please be advised that we work closely with law enforcement and we report any inappropriate content that may infringe applicable laws.
5.2. You are not permitted to use CompareTV in any manner that substitutes or contributes to the following activities (the list is representative and not exhaustive):
- Any unlawful activity, including violation of any laws, statutes, ordinances, or regulations;
- Provision of false, inaccurate, or misleading information;
- Dissemination of information about the acts, including pranks and challenges, that may result in injuries, physical harm, or distress to children;
- Posting of the Comments that depict, link to, or incite others to commit acts of violence;
- Gambling, including contests, lotteries, games of chance, bidding fee auctions, sports forecasting or odds making, Internet gaming, fantasy sports leagues with cash prizes, and sweepstakes;
- Spreading of malware (e.g., viruses, worms, Trojan horses), spam, and other illegal messaging;
- Spreading ethnically, racially, or otherwise objectionable information;
- Sexually explicit, libellous, harassing, defamatory, abusive, profane, vulgar, threatening, hateful, obscene behaviour and terrorism-related content;
- Advertising or encouraging the use of tobacco, alcohol, and any illegal substances;
- Copying, distributing, renting, reselling, modifying, compromising, damaging, disabling, impairing, and overburdening CompareTV;
- Interfering with or abusing other users of CompareTV;
- Using bots, scripts, and other automated methods; and
- Collecting and disclosing any information about the users of CompareTV.
5.3. Reporting inappropriate content. If you think that some of the content available on CompareTV is inappropriate, infringes these Terms, applicable laws, or your right to privacy, please contact us immediately at email@example.com. If any content is reported as inappropriate, we will immediately delete the content from CompareTV.
6. MARKETING AND INFORMATIONAL NOTICES
6.1. Marketing messages. After you sign up to receive our newsletter, we will send you marketing messages, such as newsletters, brochures, promotions and advertisements, informing you about our or our partners’ new services or new features of CompareTV. You will receive such marketing messages only if you have provided your express (“opt-in”) consent to receive marketing messages. Please note that your voluntary subscription to receive our newsletter constitutes such opt-in consent.
6.2. Opting-out. You can opt-out from receiving marketing messages at any time free of charge by clicking on the “unsubscribe” link contained in any of the messages sent to you or contacting us directly.
6.3. Informational notices. From time to time (if we have your email address), we may send you informational notices, such as service-related, technical or administrative emails, information about CompareTV, your privacy and security, and other important matters. Please note that we will send such notices on an “if-needed” basis and they do not fall within the scope of direct marketing communication that requires your prior consent.
7.1. We take appropriate security measures, such as SSL protocol, to protect the information we store on CompareTV against unauthorised access.
7.2. Avoiding phishing and scam. Phishing is an online scam that aims to trick someone into giving up their personal data, such as credit card numbers, social security/national ID numbers, or other financial data. Usually, when scammers have that information, they will then use it to steal your money, property or identity. You agree not to disclose any financial information through CompareTV.
7.3. By using CompareTV, you are solely responsible for your interactions with other users of CompareTV and the Suppliers. You acknowledge and agree that we do not conduct any checks of the qualifications, certification, skills, and background of the Suppliers and the users accessing CompareTV. We make no representations or warranties as to the conduct of the Suppliers and CompareTV’s users.
7.4. Security incidents. Given the nature of communications and information processing technology and the Internet, we cannot be liable for any security incidents, cyber attacks, data breaches, and unlawful destruction, loss, use, copying, modification, leakage, and falsification of any information caused by circumstances that are beyond our reasonable control. In case a security incident occurs, we will inform relevant authorities without undue delay and immediately take reasonable measures to mitigate the incident, as required by the applicable law. Our liability for any security incidents will be limited to the highest extent permitted by the applicable law.
8. INTELLECTUAL PROPERTY
8.1. CompareTV Content. Most of the content made available on CompareTV, excluding the Comments, is owned by us, our partners, agents, licensors, vendors, and/or other content providers (the “CompareTV Content”). The CompareTV Content includes, but is not limited to, text, images, audiovisual content, source code, trademarks, service marks and trade names. The CompareTV Content is protected by the applicable intellectual property laws and international treaties. You are not allowed, without obtaining prior written authorisation from us, to:
- Copy, distribute, and make available the CompareTV Content to third parties;
- Disassemble, make alterations, decompile, reverse engineer, translate, and adapt the CompareTV Content;
- Distribute, rent, loan, use, lease or attempt to grant other rights to the CompareTV Content to third parties; and
- Use any manual or automated means to scrap any content available on CompareTV.
8.2. Third-party intellectual property. Some of the intellectual property assets, such as the Comments, the trademarks of the Suppliers, and other third-party services, featured on CompareTV may be owned by the users of CompareTV and other third parties. Such third-party intellectual property does not belong to us and it remains the sole property of the respective third-party proprietors.
8.3. Copyright infringement claims. We respect intellectual property rights. If you have any grounds to believe that any content made available on CompareTV violates your or third party’s intellectual property rights, please contact us and express your concerns or request to remove the allegedly infringing content (our contact details are available at the end of the Terms). In your copyright infringement claim, please provide sufficient details allowing us to locate the allegedly infringing content on CompareTV. We will reply to the copyright infringement claim as soon as possible but no later than 2 weeks.
8.4. Sponsored content. You acknowledge that, unless we are required by law to do so, we may not identify sponsored content or commercial communications.
9.1. We put reason able efforts to ensure that CompareTV is always accessible to you. However, the availability of CompareTV may be affected by factors, which we cannot reasonably control, such as bandwidth problems, equipment failure, acts and omissions of our third-party service providers, or force majeure events. We take no responsibility for the unavailability of CompareTV caused by such factors.
10. DISCLAIMER OF WARRANTIES
10.1. We provide CompareTV on “as available”, “as is”, and “with all faults” basis. To the extent permitted by the applicable law, we do not make any representations or warranties about the reliability, suitability, and accuracy, for any purpose, of CompareTV, any content featured on CompareTV, whether provider by us or by third parties, and hereby disclaim all warranties regarding CompareTV and its operation.
10.2. The user is advised that new products, services, or rates may be introduced by the Suppliers with or without a prior notice. Although we put reasonable efforts to update CompareTV within a reasonable time after being notified or becoming aware of such changes, we accept no liability for the inaccurate, misleading, or incomplete information provided to us by the Suppliers or other third parties.
10.3. It is your sole responsibility to verify and assess the fit for the purpose of CompareTV prior to using it and to decide whether or not CompareTV fits for the intended use.
10.4. By using CompareTV, you acknowledge that we may use third-party suppliers to provide software, hardware, storage, networking, and other technological services. The acts and omissions of third-party suppliers may be outside of our reasonable control. To the maximum extent permitted by law, we exclude any liability for any loss or damage resulting from the acts and omissions of such third-party suppliers.
10.5. Nothing in these Terms shall affect any statutory rights that you are entitled to as a consumer and that you cannot contractually agree to alter or waive.
11. LIMITATION OF LIABILITY
11.1. Unless otherwise excluded or limited by the applicable law, we will not be liable for any damages, including, but not limited to, incidental, punitive, special or other related damages, arising out or in connection with your use of CompareTV, any content made available through CompareTV, whether provided by us or by third parties, or any transactions concluded through CompareTV. You agree not to hold us liable in respect of any losses arising out of any event or events beyond our reasonable control.
11.2. We will not be liable to you for any direct, indirect or consequential losses, which may be incurred by you in relation to CompareTV, such as:
- Any health issues, cases of injuries and death experienced as a result of the use of CompareTV;
- Direct and indirect loss of profits;
- Loss of goodwill or business reputation;
- Loss of opportunities; and
- Loss of data suffered by you;
11.3. We will not be liable to you for any loss or damage, which may be incurred by you as a result of:
- Any changes which we may make to CompareTV, or for any permanent or temporary cessation in the provision of CompareTV or any features thereof;
- The deletion of, corruption of, or failure to store the Comments and other data maintained or transmitted by or through CompareTV;
- Your failure to provide us with accurate personal data;
- Communication, business or personal relationships between the users and the Suppliers; or
- Any reliance placed by you on the completeness, accuracy or existence of any content, information, recommendations, or advertising featured on CompareTV, or as a result of any relationship or transaction between the users and the Suppliers, any other users of CompareTV, or advertisers and sponsors whose content is featured on CompareTV.
11.4. This Section 10 shall apply whether or not we have been advised of or should have been aware of the possibility of any such losses arising.
12.1. You agree to indemnify, defend and hold the Company, its subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including attorneys’ fees, made by any third party due to or arising out of your breach of these Terms, your use of CompareTV, or your violation of any law or the rights of a third party.
13.1. In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such a provision shall nonetheless be enforceable to the fullest extent permitted by the applicable law, and the unenforceable portion shall be deemed to be severed from these Terms. The validity and enforceability of the remaining provisions shall not be affected as a result.
14. GOVERNING LAW AND DISPUTES
14.1. Governing law. These Terms shall be governed and construed in accordance with the laws of the State of New South Wales, Australia, without regard to its conflicts of law provisions.
14.2. Jurisdiction. You agree to resolve any disputes arising out of or relating to these Terms by means of negotiation with the Company. If the dispute cannot be resolved by means of negotiation, the dispute shall be submitted to an alternative dispute resolution (ADR) body.
14.3. Alternative dispute resolution (ADR). ADR body acts as an independent middleman between an Internet service provider and a customer when an initial complaint cannot be resolved. You do not need legal assistance or representation to take your case to an ADR scheme.The ADR body investigates complains by looking at consumer’s and Internet service provider’s arguments and comes to a decision it deems to be fair. 14.4. This Section 14 does not affect any statutory rights that you are entitled to as a consumer.
15.1. Term and termination. The Terms enter into force on the date indicated at the top of the Terms and remain in force until updated or terminated by us or until you stop using CompareTV.
15.2. Amendments. We reserve the right to modify these Terms at any time, effective upon posting of an updated version on CompareTV. Such amendments may be necessary due to the changes in the requirements of laws, regulations, new features of CompareTV, and our business practices. We will send you a notification (if we have your email address) about any material amendments to the Terms that may be of importance to you. You are responsible for regularly reviewing these Terms. Your continued use of CompareTV after any changes shall constitute your consent to such changes. We also reserve the right to modify the services provided through CompareTV at any time, at our sole discretion.
15.3. Breach of the Terms. If we believe, at our sole discretion, that you violate these Terms and it is appropriate, necessary or desirable to do so, we may:
- Send the user a formal warning;
- Temporarily or permanently prohibit your use of CompareTV;
- Report you to the relevant public authorities; or
- Commence a legal action against you.
15.4. Transfer of rights. You are not allowed to assign your rights under these Terms. We are entitled to transfer our rights and obligations under these Terms entirely or partially to a third party by giving a prior notice to you. If you do not agree to the transfer, you can terminate these Terms with immediate effect by and stopping to use CompareTV.
15.5. Merger or acquisition. In the event the Company, during the term of these Terms, is acquired, merged, or sells all or substantially all of its assets, these Terms shall not automatically be terminated and the Company agrees to use its best efforts to ensure that the transferee or surviving company shall assume and be bound by the provisions of these Terms.
15.6. Entire agreement. These Terms, together with the documents referred to therein, represent entire agreement between you and us regarding your relationship with us and govern your use of CompareTV.
